03Approach

We move at the pace of the business, not the pace of the process.

Our edge is velocity. Five principles decide how we take on a mandate, how we structure it, and when we consider it done.

03.1Five principles

How we think.

Principle 01

Structure before capital.

Understand the problem before deciding what capital belongs in it.

We sit with promoters, founders and management to find the real need before we talk about capital. A business that needs time is not helped by money that wants a quick exit. A balance sheet that needs repair is not helped by more leverage. The instrument comes last.

Principle 02

Complexity without confusion.

Complicated transactions need simple, executable solutions.

Special situations attract complexity: layered debt, hybrid instruments, competing consents. Our job is to reduce it to a structure every party can read, price and sign, and one that still works after the deal has closed.

Principle 03

Execution over theatre.

Advice only matters if it survives contact with the transaction.

We structure before we market, and we approach only investors who fit. A presentation that impresses and a transaction that closes are different things. We are measured by the second.

Principle 04

Alignment matters.

Stakeholders, incentives and capital structures must work together.

Promoters, management and investors work through the problem together, from the first conversation. A structure that suits one party and strains another rarely reaches signing, and seldom survives it.

Principle 05

Closing is the objective.

The mandate is not complete when the presentation is finished.

The mandate is complete when the transaction closes.

Documentation, conditions precedent and drawdown are part of the job. We take on mandates we believe will close, and we say so early when we do not.

03.2In practice

What it looks like in practice.

  1. 01

    We diagnose with you

We sit with promoters, founders and management to find the real need before we talk about capital.

  2. 02

    Built around your business

Each structure fits your cash flows, control and timeline. Nothing is off the shelf.

  3. 03

    Work runs in parallel

Diligence, documents and investor outreach move together, and we approach only investors who fit.

A conventional process: in sequence

Diligence
Documents
Investor outreach
Close

How we run a mandate: in parallel

Diligence
Documents
Investor outreach
Close
Exhibit 1 The same three workstreams, run in sequence and in parallel. Illustrative; not to scale.

03.3How a mandate is staffed

One table, no hand-offs

One table

Promoters, management and investors work through the problem together, from the first conversation.

No hand-offs

The team that scopes your mandate stays on it through to closing.
